Terms of Use — SpliceAI

These Terms of Use ("Terms") govern your use of SpliceAI, an iOS application published by SPRISE SRL ("Sprise", "we", "us") that automatically edits videos on your device (the "App").

By downloading or using the App, you agree to these Terms. If you do not agree, do not use the App.

These Terms cover SpliceAI only. Our website at sprise.ltd and our other applications are governed by their own terms.

1. Licence

We grant you a personal, non-transferable, non-exclusive licence to use the App on Apple devices that you own or control, as permitted by the App Store Terms of Service.

You may not copy, modify, reverse-engineer, decompile, redistribute, rent, or resell the App or any part of it.

2. Your content

You keep all rights to the videos, audio, and other media you use with the App.

The App processes your media locally on your device. We do not receive, store, or claim any rights over it. You are responsible for ensuring you have the right to use and publish any media you process.

3. Subscriptions

SpliceAI requires a paid subscription, SpliceAI Pro, sold as an auto-renewing subscription through the Apple App Store. No account or registration is needed — your subscription is tied to your Apple ID.

• Plans. SpliceAI Pro is offered on a monthly or an annual plan. Both unlock unlimited edits, automatic captions, and exports without a watermark.
• Pricing. Current prices are shown inside the App before you purchase. Prices are set per territory by Apple and may differ by country.
• Payment. Payment is charged to your Apple ID account at confirmation of purchase.
• Automatic renewal. The subscription renews automatically for the same period unless auto-renew is turned off at least 24 hours before the end of the current period.
• Renewal charge. Your Apple ID account is charged for renewal within 24 hours prior to the end of the current period, at the then-current price for your plan.
• Managing your subscription. You can manage or cancel your subscription in the App Store: open Settings on your device, tap your name, then Subscriptions. Cancelling stops future renewals; you keep access until the end of the period you have already paid for.
• Changing plans. Switching between the monthly and annual plan is handled by Apple, which prorates the change according to its own rules.
• Restoring a purchase. If you reinstall the App or use a new device, tap "Restore purchases" to recover an active subscription on the same Apple ID.

4. Refunds

Purchases made through the App Store are handled entirely by Apple, and refunds are issued at Apple's discretion under Apple's Media Services Terms and Conditions.

We cannot issue, approve, or deny refunds for App Store purchases. To request one, use Apple's process at reportaproblem.apple.com.

If a cut, a caption, or an export is not working as described, email support@sprise.ltd — we would rather fix it.

5. Acceptable use

You agree not to use SpliceAI to create, process, or distribute content that is unlawful, infringes someone else's rights, or that you do not have permission to edit or publish. This includes footage of other people recorded or shared without their consent where consent is required.

6. Availability and changes

We may add, change, or remove features, and we may stop supporting a particular iOS version. If we discontinue SpliceAI, we will not charge new subscription periods for it.

The App requires a compatible iPhone and a recent version of iOS. Editing and transcription run on your device, so processing speed and transcription quality depend on your device and on the audio in your footage.

7. Disclaimer

The App is provided "as is" and "as available", without warranties of any kind, whether express or implied, to the fullest extent permitted by law.

Automatic editing is not perfect. We do not warrant that silence detection, filler-word removal, or speech transcription will be accurate, complete, or suitable for any particular purpose — results depend on background noise, accent, language, and recording quality. Always review the cut and the captions before publishing.

8. Limitation of liability

To the extent permitted by law, our total liability arising out of or relating to the App is limited to the amount paid for the App in the twelve months before the claim.

We are not liable for lost media, lost profits, or indirect or consequential damages. SpliceAI works on copies and does not alter your originals, but you should keep your own copies of the source footage regardless.

Nothing in these Terms limits rights you have as a consumer under mandatory law, including EU consumer protection law.

9. Apple

Apple is not a party to these Terms and is not responsible for the App or its content.

Apple has no obligation to provide support or maintenance for the App. Apple is, however, a third-party beneficiary of these Terms and may enforce them against you.

Any claim that the App fails to conform to an applicable warranty may be directed to Apple, which may refund the purchase price; beyond that, Apple has no warranty obligation regarding the App.

10. Termination

These Terms apply until terminated. They end automatically if you stop using and delete the App, or if you breach them.

11. Governing law

These Terms are governed by Romanian law. If you are a consumer resident in the EU, you keep the protection of the mandatory rules of the country where you live, and you may bring proceedings there.
